Terms & Conditions
These Terms & Conditions ("Terms") apply to all advisory, project, and enablement engagements between THE B2B ("we"/"us") and the client ("you"), unless otherwise contractually agreed in writing.
- Scope & Contracting. Services are provided based on individual Statements of Work (SoW) or proposals accepted by you. Any differing terms require our prior written consent. Contracts are concluded by acceptance of our offer or written confirmation.
- Fees & Payment. Fees are agreed per engagement (retainers, fixed fees, day rates). Invoices are due within 14 days unless otherwise stated. Expenses and third-party costs are billed separately and only with your prior approval.
- Confidentiality. Both parties agree to keep all non-public information confidential. Non-Disclosure Agreements (NDAs) can be signed if requested. This obligation survives termination of the engagement.
- Intellectual Property. We retain ownership of all pre-existing intellectual property and generic frameworks. Upon full payment, you receive a non-exclusive license to use deliverables for the agreed purpose.
- Liability. Liability is limited to intent and gross negligence, and to breaches of essential contractual obligations. In such cases, liability is capped at the contract value. Mandatory statutory liability remains unaffected.
- Termination. Ongoing retainers can be terminated with 30 days' written notice unless otherwise agreed. Work performed up to termination will be invoiced. Project-specific cancellation terms apply as per SoW.
- Governing Law & Jurisdiction. These Terms are governed by German law. The place of jurisdiction is Munich, provided the client is a merchant as defined in German commercial law.
- Severability. If any provision of these Terms is invalid, the remainder remains unaffected.
